Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") form a legally binding agreement between you ("User," "you," or "your") and Cordobase Software Solutions ("Cordobase," "we," "us," or "our"), the developer and operator of the Serai travel companion application and associated website (collectively, the "Service").

By creating an account, downloading the app, or otherwise accessing or using the Service in any way, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference.

2. Description of Service

Serai is a personal travel planning and coordination tool that allows users to:

• Create and manage trip itineraries using a flexible bucket-based planning system
• Invite travel companions to shared trips
• Store traveler profile information, including dietary needs, medical notes, and travel documents
• Communicate with trip members via in-app group chat
• Track and split shared travel expenses
• Share GPS location with trip members in real time
• Add guest traveler profiles for individuals without a Serai account (such as children)
• Access trip data offline

Serai is a planning and coordination tool only. We are not a travel agency, booking platform, airline, hotel, insurance provider, or financial institution. We do not sell travel products or services, and we do not process payments on your behalf.

3. Eligibility

You must be at least 18 years of age to create a Serai account. By registering, you represent and warrant that you meet this requirement.

If you are between the ages of 13 and 17, you may only use Serai with the express consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf. We do not knowingly permit children under the age of 13 to create accounts.

By using the Service, you also represent that you are not prohibited from using the Service under the laws of the country in which you reside or access the Service.

4. Accounts & Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate and current information when registering
• Notify us immediately of any unauthorized use of your account
• Not share your account credentials with any other person
• Not create more than one account, or create an account on behalf of another person without their consent

Cordobase reserves the right to suspend or terminate your account at any time for any violation of these Terms, or for any other reason at our sole discretion.

5. User Content & Conduct

Your Content

You retain ownership of all content you submit to the Service, including trip details, messages, notes, and traveler profile information ("User Content"). By submitting User Content, you grant Cordobase a limited, non-exclusive, royalty-free licence to store, process, and transmit your User Content solely for the purpose of providing the Service to you.

Prohibited Conduct

You agree not to use the Service to:

• Violate any applicable law or regulation
• Harass, abuse, or harm other users
• Upload or transmit false, misleading, or defamatory content
• Attempt to gain unauthorized access to any part of the Service or another user's data
• Use the Service for any commercial purpose without our prior written consent
• Reverse-engineer, scrape, or otherwise extract data from the Service
• Transmit viruses, malware, or any other malicious code
• Use the Service in any manner that could disable, overburden, or impair its functionality

We reserve the right to remove any User Content that we determine, in our sole discretion, violates these Terms or is otherwise harmful.

6. Sensitive Personal Information

Serai allows users to voluntarily store certain categories of sensitive personal information, including but not limited to:

• Medical notes, diagnoses, conditions, and medications
• Blood type
• Dietary restrictions and allergies
• Passport and travel document details
• Emergency contact information
• Travel insurance details
• Visa and entry requirements

Cordobase takes reasonable technical and organizational measures to protect this data (see our Privacy Policy). However, we cannot guarantee absolute security of any data transmitted over the internet or stored in any electronic system.

You are solely responsible for the accuracy of any information you store. Cordobase accepts no liability for any harm arising from inaccurate, incomplete, or outdated information entered by you.

You should not use Serai as your sole or primary repository for critical safety information. Always carry physical copies of important travel documents.

7. Location Services

Serai offers an optional GPS location-sharing feature that, when enabled, broadcasts your approximate real-time location to other members of your trip. This feature is entirely opt-in.

By enabling location services, you acknowledge and agree that:

• Your location data will be visible to all members of the relevant trip
• Location data may be stored temporarily for the purpose of showing "last known location"
• GPS accuracy depends on your device hardware and network conditions, and may not always reflect your exact position
• Cordobase is not responsible for any harm arising from the use or misuse of location data shared through the Service
• You can disable location sharing at any time from within the app

8. Guest Traveler Profiles

Trip editors and owners may create "Guest Traveler" profiles for individuals who do not have a Serai account — for example, children or elderly relatives. By creating a Guest Traveler profile, you represent and warrant that:

• You have the legal authority to enter and manage that individual's personal information
• If the individual is a minor, you are their parent or legal guardian, or have the consent of their parent or legal guardian
• The information you enter is accurate and entered for legitimate travel coordination purposes only
• You will inform the individual (or their guardian) that their information is being stored in the app, to the extent required by applicable law

Cordobase is not responsible for any unauthorized, inaccurate, or inappropriate data entered in Guest Traveler profiles. The trip member who creates a Guest Traveler profile assumes full responsibility for that data.

9. Travel Disclaimer

Serai is a planning and coordination tool. We are not a travel agency, booking service, or travel advisor. Nothing in the Service constitutes travel advice, legal advice, medical advice, or financial advice.

Cordobase accepts no responsibility or liability for:

• Flight delays, cancellations, or changes by airlines or other carriers
• Hotel overbookings, closures, or changes in accommodation
• Changes in visa requirements, border policies, or entry restrictions
• Natural disasters, extreme weather, civil unrest, pandemics, or other force majeure events
• Personal injury, illness, death, property damage, or theft occurring during your trip
• Inaccurate or outdated information about destinations, attractions, or services
• Decisions made based on information stored in or generated by the Service
• Loss of data due to device loss, damage, or theft
• Failure of the offline access feature due to device storage or software constraints

10. Third-Party Services

The Service integrates with or relies on third-party services, including but not limited to:

• Supabase — database, authentication, and real-time infrastructure
• Mapping providers — for displaying maps and waypoints
• Weather data providers — for displaying weather at trip destinations

These third-party services are governed by their own terms of service and privacy policies. Cordobase is not responsible for the availability, accuracy, or conduct of any third-party service. We make no representations or warranties regarding third-party services.

Links within the Service to third-party websites or services do not constitute our endorsement of those parties or their products.

11. Intellectual Property

All content, design, software, trade names, logos, and trademarks associated with Serai — including the name "Serai," the compass rose logo, and all app interfaces — are the property of Cordobase Software Solutions and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal, non-commercial purposes. You may not copy, modify, distribute, sell, or create derivative works based on any part of the Service without our prior written consent.

12. Disclaimer of Warranties

Cordobase does not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• Any errors or defects in the Service will be corrected
• The results obtained from using the Service will be accurate or reliable
• The Service will be available in any particular location or at any particular time
• Any data stored in the Service will be preserved indefinitely or recovered in the event of a system failure

13. Limitation of Liability

In jurisdictions that do not allow the exclusion or limitation of liability for certain damages, our liability shall be limited to the maximum extent permitted by law.

To the extent that Cordobase is found liable for any claim arising out of these Terms or the Service, our total aggregate liability to you shall not exceed the greater of: (a) the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100).

Some jurisdictions do not allow certain limitations of liability. If you are a resident of such a jurisdiction, some of the above limitations may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless Cordobase Software Solutions and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any applicable law or the rights of any third party
• Any User Content you submit, post, or transmit through the Service
• Any Guest Traveler profiles you create
• Any personal injury or property damage you cause during your travels

15. Termination

You may stop using the Service and delete your account at any time by contacting us or using in-app account deletion features. Upon deletion, your personal data will be handled in accordance with our Privacy Policy.

Cordobase may suspend or permanently terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or our legitimate business interests.

16. Governing Law & Disputes

Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Dispute Resolution

Before initiating any formal dispute, you agree to contact us at legal@serai.app and give us 30 days to resolve the issue informally.

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered in Windsor, Ontario, Canada, in accordance with the applicable arbitration rules, unless you opt out in writing within 30 days of first agreeing to these Terms.

You agree that any dispute shall be resolved on an individual basis only — you waive any right to participate in a class action, class arbitration, or any other representative proceeding.

Jurisdiction

For matters not subject to arbitration, you consent to the exclusive jurisdiction of the courts located in Windsor, Ontario, Canada.

If you are a consumer resident in the EU or UK: Nothing in this section removes any rights you have under the mandatory consumer protection laws of your country of residence.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date at the top of this page. For material changes, we will make reasonable efforts to notify you — for example, via email or an in-app notification.

Your continued use of the Service after updated Terms are posted constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and delete your account.
